Conflict of Interest Policy Summary

While the Gold family office interests and Punch family office interests will typically co-invest in any Assembly project, there will be certain projects where due to different investment appetite or management of actual or perceived conflicts of interest one family or the other may not participate. For example, Justin Punch is the current Chair of the Australian Renewable Energy Agency (ARENA) and in order to manage any actual or perceived conflicts with his duties (including under the Public Governance, Performance and Accountability Act 2013, the Public Services Act 1999 and the ARENA conflicts of interest policy), the Punch family may not be able to invest in companies that have a current commercial relationship with or have a substantial likelihood of applying for ARENA funding nor in certain other Australian pre-commercial initiatives. This will be considered on a case-by-case basis. Assembly Climate Capital has appropriate separation arrangements required to address any such actual or perceived conflicts of interest.
